This memorandum made this day between you or your organization (hereinafter referred to as the 'user', the expression, which shall where the context so admits include its Assigns, Executors, heirs, administrators, Legal and personal representatives and successors) on the first part. AND PBG Communications Limited of #27 Ireakari estate road, Isolo, Lagos ( hereinafter referred to as 'PBG Communications' or the 'contractor', the expression, which shall where the context so admits include its Assigns, Executors, Legal and personal representatives and successors-in-title) on the second part.

WHEREAS:

The user is desirous of the PBG Communications Free Webdesign / Webhosting offer.
The contractor has offered to be incharge of designing and hosting the website and the user has subject to the terms and conditions of this agreement accepted to retain the contractor.

NOW THIS AGREEMENT WITNESSES AS FOLLOWS:

That in consideration of the sum of N2,500.00 (Two thousand five hundred naira only) being fees for application forms and document handling, payable by user to the contractor, the contractor shall carry out the following duties and obligations to the user-

1. Build and host a five page interactive website containing an online form and animated buttons.
    Input in user's website, graphics and text provided by user or develop graphics and text subject     to the approval of user.
2. The free website offered to user by the contractor shall not exceed 5,000 kbs of file size.

3. This contract shall be for a period of one year beginning from the date of its executions. However     subject to renewal on agreed terms.

4. PBG Communications Ltd. free WebDesign /Web Hosting package is offered to user conditioned on     user's acceptance without modification of the terms and conditions, contained herein.

    MODIFICATION OF THESE TERMS OF USE

5. PBG Communications Ltd.- WebDesign Web Hosting - reserves the right to change the terms,     conditions, and notices under which the free Web Site/Hosting is offered.

    CONDITIONS OF SERVICE

6. PBG Communications Limited as contractor, bears the cost of the free WebDesign WebHosting service     offer to the User and therefore reserves the right to canverse for sponsors and advertise products     and/or services of same using small portions of the User's website. No compensation will be paid with     respect to the use of the user's website, as provided herein.

7. PBG Communications Limited as contractor, reserves the exclusive right to edit, update, maintain and     host User's WebSite.

8. Subsequent changes or adjustments made to the User's WebSite are subject to User's approval and     shall attract a small charge.

9. Customized services such as additional special web applications and features not listed in this     agreement shall attract charges.

    Other conditions are stated bellow as follows:

SEARCH ENGINES REGISTRATION

9a.New engines and directories come into existence and others disappear. While we try to keep up with      all of these changes, our list may not reflect the most recent change. Our list is subject to change      without notice.

  •  Not all directories and search engines accept all sites submitted to them for various reasons. Some      restrict admission to countries of interest while some do not accept discriminating, racist, sexist,      pornographic and SPAM pages. The naming of a particular search engine or directory within our list      does not constitute a       guarantee of acceptance or inclusion of your particular site.
 •  Some directories and search engines occasionally suspend submissions for maintenance etc.
 •  Search engines usually review and categorize sites for inclusion in their database. This may take     between 2days to 8weeks from the date of submission.

10. User's Website may contain links to other Web Sites such as cnn.com, guardiannewsonline.com       etc.("Linked Sites"). The Linked Sites are not under the control of PBG Communications therefore       PBG is not responsible for the contents of any Linked Site, including without limitation any link       contained in a Linked Site, or any changes or updates to a Linked Site. PBG Communications Ltd.-       WebDesign Web Hosting - is not responsible for webcasting or any other form of transmission       received from any Linked Site. PBG Communications Ltd is providing these  links to you only as a       convenience, and the inclusion of any link does not imply endorsement of  the site by PBG or any       association with its operators.

NO UNLAWFUL OR PROHIBITED USE

11. As a condition of your use of the PBG Free WebDesign Web Hosting, you warrant to PBG       Communications Ltd. that you will not use the Web Site offered to you under the above stated       for any purpose that is unlawful or prohibited by these terms, conditions, and notices. Your       free Website is tied to the PBG free web hosting service and You may not through any means,       obtain or attempt to obtain any materials, information or electronic/hard copies of your website       for the purpose of hosting elsewhere.

USE OF COMMUNICATION SERVICES

12. The PBG Communications - Free WebDesign Web Hosting package comes with an online form and       may contain bulletin board services, chat areas, news groups, forums, communities, calendars,       and/or other message or communication facilities designed to enable you to communicate with the       public at large or with a group (collectively, "Communication Services"), you agree to use the       Communication Services only to post, send and receive messages and material that are proper and       related to the particular Communication Service. By way of example, and not as a limitation, you       agree that when using a Communication Service, you will not:

A.  Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of      privacy and publicity) of others.

B.  Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing,       obscene, indecent or unlawful topic, name, material or information.

C.  Upload files that contain software or other material protected by intellectual property laws (or by      rights of privacy of publicity) unless you own or control the rights thereto or have received all      necessary consents.

D.  Upload files that contain viruses, corrupted files, or any other similar software or programs that  may      damage the operation of another's computer.

E.  Download any file posted by another user of a Communication Service that you know, or reasonably      should know, cannot be legally distributed in such manner.

F.  Falsify or delete any author attributions, legal or other proper notices or proprietary designations or      labels of the origin or source of software or other material contained in a file that is uploaded.

G. Restrict or inhibit any other user from using and enjoying the Communication Services.

H. Violate any code of conduct or other guidelines which may be applicable for any particular      Communication Service.

I.   Harvest or otherwise collect information about others, including e-mail addresses, without their      consent.

J.  Violate any applicable laws or regulations.

13. PBG Communications Ltd.- WebDesign Web Hosting - has no obligation to monitor the       Communication Services.

14. PBG Communications Ltd. - WebDesign Web Hosting - reserves the right at all times to disclose any       information as necessary to satisfy any applicable law, regulation, legal process or governmental       request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in       PBG's sole discretion.

15. Materials uploaded to a Communication Service may be subject to posted limitations on usage,       reproduction and/or dissemination. The user is responsible for adhering to such limitations if you       download the materials.

MATERIALS PROVIDED TO PBG Communications Ltd.- WebDesign Web Hosting .

16a. PBG Communications does not claim ownership of the materials you provide or post, upload,  input         or submit. However, by posting, uploading, inputting, providing or submitting your submissions,         you are granting PBG Communications, its affiliated companies and necessary sublicensees         permission to use your submission in connection with the building of your new website including,         without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, edit,         translate and to publish your name in connection with your Submission.

16b. No compensation will be paid with respect to the use of your Submission, as provided herein.

16c. By posting, uploading, inputting, providing or submitting your Submission you warrant and        represent that you own or otherwise control all of the rights to your Submission as described in        this section including, without limitation, all the rights necessary for you to provide, post, upload,        input or submit the Submissions.

LIABILITY DISCLAIMER

THE INFORMATION, SOFTWARE, WEB APPLICATIONS, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE PBG COMMUNICATIONS - WebDesign Web Hosting - MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PBG COMMUNINATIONS AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE FREE PBG WebDesign Web Hosting Service.
